NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. THIS SWEEPSTAKES IS INTENDED FOR ENTRY IN THE UNITED STATES ONLY AND WILL BE GOVERNED BY UNITED STATES LAW

1. SPONSOR

The Off-Road Aces Sweepstakes (the “Sweepstakes”) is sponsored by Off-Road Aces LLC (“Sponsor”), with a mailing address of:

2. ELIGIBILITY

The Sweepstakes is open to permanent legal residents of the forty-eight (48) contiguous United States and the District of Columbia who are eighteen (18) years of age or older (or the age of majority in their state of residence) (whichever is higher) at the time of entry (each, an “Entrant”). The Entrant who is selected as the grand prize winner (the “Grand Prize Winner”), must have a unique, personal and valid social security number for Sponsor (defined below) to report the tax liability associated with acceptance of the grand prize (“Grand Prize”). Valid social security numbers will be determined by IRS requirements as further defined in the “PRIZE CLAIMS” section of these Official Rules. Employees and their immediate family members (parents, children, siblings or spouse, regardless of where they live, or persons living in the same household, whether related or not) of Sponsor, and each of its respective parent companies, divisions, affiliates, subsidiaries, distributors, advertising and agencies, and any others engaged in the development, production, execution or distribution of this Sweepstakes, including but not limited to the independent administrator ( “Independent Administrator”) (all of the aforementioned collectively referred to as the “Sweepstakes Entities”), are not eligible to participate. The Sweepstakes is subject to all federal, state, and local laws and regulations and is void outside the forty-eight (48) contiguous United States and the District of Columbia and wherever else restricted or prohibited by law. By entering the Sweepstakes, Entrants indicate their full and unconditional agreement to, and acceptance of, these Official Rules and the decisions of the Sponsor and/or Independent Administrator, which are final and binding in all respects. Winning the Grand Prize is contingent upon fulfilling all requirements set forth herein.

3. SWEEPSTAKES PERIOD

The Sweepstakes begins at 12:00:00 a.m. Mountain Standard Time (“MST”) on September 1, 2026, and ends at 11:59:59 p.m. MST on October 31, 2026 (the “Sweepstakes Period”).

All entries must be received in accordance with these Official Rules during the Sweepstakes Period to be eligible.

4. HOW TO ENTER

There are two ways to enter:

A. Purchase Method of Entry

During the Sweepstakes Period, eligible entrants will receive one (1) Sweepstakes entry for each one dollar ($1.00 USD) actually paid for eligible merchandise purchased through Sponsor’s website.

For purposes of calculating entries, taxes, shipping charges, and other fees do not count toward the purchase amount. Amounts attributable to refunded, returned, cancelled, or otherwise reversed purchases will not qualify for entries.

Fractional dollars do not receive fractional entries. For example, a qualifying purchase of $24.99 will receive twenty-four (24) entries.

No purchase is necessary to enter or win. A purchase will not increase an entrant’s odds of winning except by providing additional entries that are available on the same terms as stated in these Official Rules

In the event an Entrant enters the Sweepstakes through any combination of qualifying purchases and/or the Alternative Method of Entry (“AMOE”), all eligible entries will be combined and included in the random drawing. Purchase-based entries and AMOE entries will be treated as separate eligible entries, and each eligible entry will have an equal chance of being selected. There is no maximum number of entries an Entrant may receive through qualifying purchases during the Sweepstakes Period, provided that all such purchases and entries comply with these Official Rules. AMOE entries remain subject to the applicable AMOE entry limits set forth in these Official Rules.

In the event an Entrant enters the Sweepstakes via a combination of Purchase or the AMOE the event of a dispute regarding the identity of the person who submitted an entry, the entry will be deemed submitted by the Authorized Account Holder (defined below) of the e-mail address connected with the email account from which the Purchase was sent, Membership made or as submitted on the AMOE postcard. “Authorized Account Holder” is defined as the natural person who is assigned to an e-mail address by the Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. An Entrant may be requested to provide Sponsor with proof that the Entrant is the Authorized Account Holder of the email address associated with the entry. Any attempt by any Entrant to enter this Sweepstakes using multiple/different accounts or any other methods may void the Entrant’s entries and may result in disqualification, at the sole discretion of Sponsor. Use of any automated system to participate in the Sweepstakes is prohibited and may result in disqualification. The Sweepstakes Entities are not responsible for any entry that is lost, late, misdirected or  undeliverable, whether due to system errors, omissions, interruptions, deletions, defects, delays in operation or transmissions or any other reason, theft or destruction or failures, faulty transmissions or other telecommunication malfunctions, entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, failed, incomplete or garbled computer or telephone transmissions, typographical or system errors and failures, technical malfunctions, or otherwise. Late entries or entries sent via any other method than those stated above will not be accepted.

B. Free Alternative Method of Entry (“AMOE”)

To enter without making a purchase, an eligible entrant must hand-print, in legible writing, the following information on a plain 3-inch by 5-inch index card:

● Full legal name

● Complete mailing address

● Email address

● Telephone number

● Date of birth

The completed index card must be mailed in a standard envelope bearing sufficient first-class postage to:

Each properly completed and eligible mail-in entry received by Sponsor will receive one (1) Sweepstakes entry.

Each mail-in entry must be mailed separately. No photocopies, mechanically reproduced entries, computer-generated entries, facsimiles, automated entries, or entries submitted on forms other than the required plain 3-inch by 5-inch index card will be accepted.

The entrant is responsible for all postage and mailing costs.

Limit: One (1) mail-in entry per person per calendar day during the Sweepstakes Period.

Multiple mail-in entries received from the same person on the same calendar day may be disqualified. Entries that are illegible, incomplete, inaccurate, damaged, late, misdirected, postage due, or otherwise not submitted in accordance with these Official Rules are void.

Sponsor is not responsible for lost, late, damaged, misdirected, illegible, incomplete, postage-due, or otherwise undeliverable mail.

5. ENTRY LIMITS AND VERIFICATION

There is no stated maximum number of entries that may be obtained through qualifying purchases during the Sweepstakes Period, provided that all purchases are legitimate, actually completed, and otherwise comply with these Official Rules.

Mail-in entries are limited to one (1) entry per person per calendar day.

Sponsor reserves the right to reject and/or disqualify any entry that Sponsor determines, in its sole discretion, is fraudulent, forged, tampered with, incomplete, illegible, duplicated, mechanically reproduced, generated by an automated system, or otherwise not in compliance with these Official Rules.

Entries become the property of Sponsor and will not be returned.

6. PRIZE

One (1) winner will receive:

One (1) 2021 Yamaha YZ125 dirt bike.

Approximate Retail Value (“ARV”): $5,000.

The exact model year, specifications, color, accessories, and availability of the prize will be determined by Sponsor.

The prize is awarded “AS IS” without warranty of any kind, express or implied, except for any warranties that cannot legally be excluded.

The winner is solely responsible for all costs and expenses associated with accepting, registering  titling, insuring, maintaining, or operating the prize, including but not limited to:

● Applicable federal, state, and local taxes

● Title and registration fees

● Licensing fees

● Insurance

● Transportation or delivery expenses

● Fuel and maintenance

● Safety equipment

● Any other expenses not expressly stated as being provided by Sponsor

Sponsor makes no representation that the winner will be legally permitted to operate or register the prize in the winner’s state or locality.

No substitution, transfer, or cash redemption of the prize is permitted, except that Sponsor reserves the right, in its sole discretion, to substitute a prize of equal or greater approximate retail value if the advertised prize becomes unavailable.

Delivery: Sponsor shall use all reasonable efforts, subject to availability, to award the Grand Prize within ninety (90) days the Grand Prize Winner is determined. Grand Prize Winner shall bear all risk of loss or damage to the Grand Prize after it has been delivered. The Grand Prize will be delivered solely with the express written limited warranties set forth in the Grand Prize’s applicable Owner’s Guides, which warranties shall run for the term set forth in said guide. The depiction of the Grand Prize in any advertising or promotional materials or physical display may not reflect the actual Grand Prize delivered to the Grand Prize Winner. Any difference between the stated ARV of the Grand Prize and the actual value of the Grand Prize will not be awarded. 
No more than one (1) Grand Prize will be awarded. Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes shall be the sole responsibility of the Grand Prize Winner. The Grand Prize consists only of the items listed herein. Sponsor makes no representations or warranties with respect to the potential benefits or outcomes to any prize winner with respect to the Grand Prize. GRAND PRIZE IS AWARDED “AS IS” AND SPONSOR DOES NOT MAKE (AND IS NOT RESPONSIBLE FOR) ANY REPRESENTATIONS, GUARANTEES OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATING TO THE GRAND PRIZE, AND ALL SUCH WARRANTIES ARE HEREBY DISCLAIMED.

Grand Prize Winner may not assign or transfer the Grand Prize to another person. No Prize substitution, exchanges, redemptions, transfers or changes are allowed, except at the sole and absolute discretion of Sponsor. Non-cash Prizes cannot be substituted or redeemed for cash. Grand Prize is subject to availability and subject to change. If the Grand Prize cannot be awarded due to circumstances beyond the control of Sponsor, a substitute prize may be awarded; provided, however, that if Grand Prize is awarded but unclaimed/forfeited by Grand Prize Winner, such Grand Prize may not be re-awarded, in Sponsor’s sole and absolute discretion. Grand Prize should only be redeemed and accepted by the applicable prize winner. Grand Prize will only be awarded if properly claimed according to these Official Rules. All taxes, fees and surcharges related to the Grand Prize, if any, are the sole responsibility of the Grand Prize Winner and may be subject to applicable withholding.

7. ODDS OF WINNING

The odds of winning depend upon the total number of eligible entries received during the Sweepstakes Period.

Each eligible entry, whether obtained through a qualifying purchase or the AMOE, has an equal chance of being selected in the random drawing.

8. WINNER SELECTION

One (1) potential winner will be selected in a random drawing from all eligible entries received during the Sweepstakes Period.

The drawing will be conducted within seven (7) days following the end of the Sweepstakes Period by Sponsor or by an independent person or entity selected by Sponsor.

The decisions of Sponsor regarding the selection and administration of the Sweepstakes are final and binding.

9. WINNER NOTIFICATION AND VERIFICATION

The potential winner will be contacted using the email address, telephone number, and/or mailing address provided at the time of entry.

Sponsor may require the potential winner to provide reasonable proof of identity, age, residency, and eligibility before the prize is awarded.

The potential winner must respond to Sponsor within seven (7) days after Sponsor’s first attempted notification.

If the potential winner cannot be contacted, fails to respond within the required period, is determined to be ineligible, cannot satisfy the eligibility requirements, refuses the prize, or otherwise fails to comply with these Official Rules, the potential winner may be disqualified and Sponsor may select an alternate potential winner from the remaining eligible entries.

Sponsor may conduct additional drawings as reasonably necessary until a winner is confirmed or the prize is awarded.

10. TAXES

The winner is solely responsible for all federal, state, and local taxes and any other costs or expenses associated with accepting or using the prize.

Sponsor may require the winner to complete and return appropriate tax documentation, including an IRS Form W-9, and may issue an IRS Form 1099-MISC or other applicable tax reporting form as required by law.

11. PUBLICITY

Except where prohibited by law, acceptance of the prize constitutes the winner’s permission for Sponsor and its designees to use the winner’s name, city and state of residence, photograph, likeness, voice, statements, and other biographical information for advertising, promotional, and publicity purposes in any media now known or later developed, worldwide, without additional notice, permission, or compensation.

12. GENERAL CONDITIONS

Sponsor reserves the right, in its sole discretion, to cancel, suspend, modify, or terminate the Sweepstakes, or any portion thereof, if fraud, technical failures, computer viruses, bugs, unauthorized human intervention, natural disasters, or any other cause beyond Sponsor’s reasonable control impairs the integrity, security, fairness, or proper operation of the Sweepstakes.

If the Sweepstakes is terminated before its scheduled end date, Sponsor reserves the right, but is not obligated, to conduct the drawing from among all eligible entries received before the termination date.

Sponsor reserves the right to disqualify any person who tampers with the entry process, violates these Official Rules, attempts to interfere with the proper operation of the Sweepstakes, or acts in a fraudulent, disruptive, or unfair manner.

13. RELEASE AND LIMITATION OF LIABILITY

By entering the Sweepstakes, each entrant agrees to release, defend, indemnify, and hold harmless Sponsor and its owners, members, officers, directors, employees, agents, affiliates, representatives, advertising agencies, and promotional partners from and against any and all claims, liabilities, damages, losses, costs, and expenses arising out of or relating to:

1. Participation in the Sweepstakes;

2. Any violation of these Official Rules;

3. Acceptance, possession, transportation, registration, ownership, or use or misuse of the prize;

4. Any technical failure, interruption, or other problem affecting the Sweepstakes; or

5. Any other matter related to the Sweepstakes or prize.

Sponsor is not responsible for any injury, loss, or damage resulting from participation in the Sweepstakes or acceptance or use of the prize, except to the extent such limitation is prohibited by applicable law.

14. PRIVACY

Information collected from entrants will be used for purposes of administering the Sweepstakes and for other purposes disclosed in Sponsor’s applicable Privacy Policy.

By entering the Sweepstakes, entrants acknowledge that they are providing their information to Sponsor and not to Instagram, Facebook, or Meta Platforms, Inc.

Sponsor’s Privacy Policy governs the collection and use of personal information submitted in connection with the Sweepstakes.

15. INSTAGRAM / META DISCLAIMER

This Sweepstakes is in no way sponsored, endorsed, administered by, or associated with Instagram, Facebook, or Meta Platforms, Inc.

By participating in the Sweepstakes, each entrant understands that the entrant is providing information to Sponsor and not to Instagram, Facebook, or Meta Platforms, Inc.

To the extent the Sweepstakes is promoted on Instagram, Facebook, or another Meta platform, each entrant agrees that Instagram, Facebook, and Meta Platforms, Inc., together with their respective parent companies, subsidiaries, affiliates, officers, directors, employees, and agents, are released from any and all liability arising out of or relating to the Sweepstakes.

Any questions, comments, or complaints regarding the Sweepstakes must be directed to Sponsor and not to Instagram, Facebook, or Meta Platforms, Inc.

16. WINNER LIST

Winner-list requests must be received within sixty (60) days after the winner is selected.

17. GOVERNING LAW AND DISPUTES

The Sweepstakes and these Official Rules are governed by the laws of the State of Arizona, without regard to its conflict-of-law principles.

Any dispute arising out of or relating to the Sweepstakes or these Official Rules shall be resolved in accordance with applicable Arizona law, subject to any rights or remedies that cannot lawfully be waived or limited.

18. SEVERABILITY

If any provision of these Official Rules is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the fullest extent permitted by law.
